Pathways Group Inc., a Woodinville, Wash.-based smart-card business, said today it has agreed to buy Honolulu-based Ticket Plus Inc. for an undisclosed amount of cash and Pathways stock.

Ticket Plus, a computerized vendor of tickets for shows, sports events and other transactions, was founded in Atlanta in 1983. It has more than 50 outlets in Hawaii, including ticket-vending machines in Foodland and Sack N Save stores, and moved its headquarters to the islands in March 1999. Its clients include the University of Hawaii, the City & County of Honolulu, the Hawaii Theatre and the Honolulu Academy of the Arts as well as commercial show producers. The company said it expects to earn about $2.5 million in the next 12 months in commissions.

Pathways sells smart-card technology for cash or debit cards used in retail transactions. It also manufactures ticket-vending machines and software and hardware for electronic banking.

Ticket Plus founder and President Manuel Sanchez said the merged companies will expand internationally.
